On August 29, 2005, Vulcan International Corporation issued a news release announcing that the Board of Directors adopted a resolution today to delist from the American Stock Exchange and to de-register under the Securities Exchange Act.  The Directors anticipate that Company shares will be quoted on the Pink Sheets following the delisting.  A copy of the news release is attached to this report as Exhibit 99.1 and is furnished under this Item 8.01.
