Item 7.01 Regulation FD Disclosure.
As previously announced, on January 22, 2018, FirstEnergy Corp. (the Company) entered into an agreement (the Preferred SPA) for the private placement of 1,616,000 shares of mandatorily convertible preferred stock. Pursuant to such agreement, the Company formed an advisory restructuring working group (the RWG) comprised of three of the Company’s designees and two other members identified in the Preferred SPA. Also as previously announced, on August 26, 2018, the Company, two groups of key FirstEnergy Solutions Corp. (FES) creditors (the FES Creditor Groups), FES and its subsidiaries and First Energy Nuclear Operating Company (FENOC and, together with FES and its subsidiaries, the FES Debtors) and the official committee of unsecured creditors (the Unsecured Creditors Committee) appointed in connection with the FES Debtors’ petitions for relief under Chapter 11 of the U.S. Bankruptcy Code filed with the U.S. Bankruptcy Court for the Northern District of Ohio in Akron (the Bankruptcy Court) entered into a definitive settlement agreement (the Settlement Agreement). The Settlement Agreement, which remains subject to approval of the Bankruptcy Court and satisfaction of the conditions set forth therein, would resolve all outstanding disputes with respect to the claims and causes of action among the Company and its non-debtor subsidiaries, on the one hand, and the FES Debtors, the FES Creditor Groups, and the Unsecured Creditors Committee, on the other hand. There can be no assurance that the Settlement Agreement will be approved by the Bankruptcy Court and, even if approved, whether the conditions to the settlement will be satisfied.
On September 20, 2018, the Company and affiliates of Elliott Management Corporation (collectively, Elliott) mutually agreed pursuant to the Preferred SPA to terminate the RWG effective as of such date in light of the substantial completion of the RWG’s role and not due to any disagreement between any member of the the RWG and the Company or its management.
