Attached as Exhibit 99.1 is a copy of a press release issued on December 4, 2006, with respect to a private offering, subject to market conditions, of $100 million aggregate principal amount of convertible notes due 2026, plus up to an additional $15 million aggregate principal amount of notes that may be issued at the option of the initial purchasers within 30 days of the initial issuance of the notes. We are filing this press release pursuant to Rule 135c under the Securities Act of 1933, as amended.
