Item 8.01. Other Events.

On September 16, 2005, Industrial Distribution Group, Inc., issued a press release reporting the sale of substantially all of the assets of a wholly owned subsidiary, Cardinal Machinery, Inc. (the “Cardinal Sale”), that had operated as a small business unit. The operations of that business unit and its disposition were not material to the Registrant, and the Cardinal Sale otherwise does require reporting under Item 2.01. This report is furnished in order to include the press release as an Exhibit to the Registrant’s filings with the Commission.
