within the prescribed time period.

     The Company's accounting staff has been required to devote a
     substantial amount of time on the completion of a time-sensitive
     project.  As a result, it has not been possible to complete the
     filing by the current due date.

NARRATIVE AND QUALITATIVE EXPLANATION OF THE ANTICIPATED CHANGE:

The Company expects to report that it had a net loss of approximately $169,000
during the six months ended June 30,2004, as compared to net income of
$321,362 during the same period last year.  The net income experienced in 2003
was a result of a settlement of a lawsuit against a contractor which provided
other income of $880,000.
