State below in reasonable detail the reasons why the Form 10-K, 20-F, 11-K, 10-Q, N-SAR, or the transition report or portion thereof, could not be filed
within the prescribed time period.
On June 10, 2016, the Registrant entered into a Transfer Agreement pursuant to which the Registrant has agreed to sell its 51% ownership interest in All American Golf Center (“AAGC”), which comprises substantially all of the Registrant’s assets. As a result, the Registrant has been required to reclassify its interest in AAGC as “assets held for sale,” and it has been unable to prepare all of the necessary adjustments in sufficient time to permit its independent accountants to perform their review.
