At the annual meeting of stockholders of Atlas Air Worldwide Holdings, Inc. (the "Company") held on May 21, 2008, the stockholders approved an amendment to the Company's 2007 Incentive Plan (the "Plan") to increase the number of authorized shares available for issuance under the Plan by 1,100,000 shares.

The description of the amendment to the Plan as stated above is qualified in its entirety by reference to the copy of the Plan attached hereto as Exhibit 10 and incorporated herein by reference.
