Other Events. |
On June 13, 2006, Viacom Inc. issued a press release announcing that it has agreed to sell $750 million in aggregate principal amount of floating rate senior notes due 2009 at par (the “Senior Notes”) in a private offering to qualified institutional buyers pursuant to Rule 144A under the Securities Act of 1933, as amended (the “Securities Act”), and outside the United States to non-U.S. persons in compliance with Regulation S under the Securities Act. A copy of the press release is filed herewith as Exhibit 99 and is incorporated by reference herein in its entirety.
