EXPLANATORY NOTE

On November 27, 2003, Veolia Environnement S.A. (the “Company”) held an “Investor Day” in Paris, France, during which a number of presentations were made by the Company’s management on the financial condition and operations of the Company and each of its business divisions. Copies of the two following presentations are included in this Report on Form 6-K:

1)     “Dalkia” — Presentation made by Olivier Barbaroux, Head of the Energy Services Division of Veolia Environnement

2)     “Connex” — Presentation made by Stéphane Richard, Head of the Transportation Division of Veolia Environnement
