Reporting Person is a limited partner of Icahn Onshore LP ("Onshore") and has an interest in the
fees, including the performance fees, relating to Onshore and Icahn Offshore LP ("Offshore").
Therefore, Reporting Person may be deemed to own the 8,648,648 shares (including
4,324,324 warrants) of Common Stock, par value $0.001 per share of the Issuer owned by
Onshore and Offshore.  However, Reporting Person disclaims beneficial ownership thereof.
