Item 8.01 Other Events.
Argan, Inc.’s wholly owned subsidiary, Gemma Power Systems, LLC (“Gemma”), has been unsuccessful in negotiating an Engineering, Procurement and Construction contract with GDF Suez Plainfield Renewable Company LLC (“GDF Suez”) for the construction of a biomass electric generating facility. GDF Suez has abandoned its efforts to develop the facility.
