Item 8.01. Other Events
On November 11, 2004, Pioneer Natural Resources Company (the "Company")
issued a news release that is attached hereto as exhibit 99.1. In the news
release, the Company announced that it has received tenders of $5.5 million in
the principal amount of its 5.875% Senior Subordinated Notes due 2012,
originally issued by Evergreen Resources, Inc., pursuant to the previously
announced change of control offer on October 12, 2004. All amounts tendered will
be accepted for purchase by the Company.
