On January 27, 2005, Pioneer Natural Resources Company (the "Company")
issued a news release that is attached hereto as exhibit 99.1. In the news
release, the Company announced that its board of directors has approved a new
share repurchase program authorizing the purchase of up to $300 million of the
Company's common stock. The Company also announced that it repurchased 2.8
million shares of its outstanding common stock during 2004 at an aggregate cost
of $92 million.
