Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On March 14, 2014, John L. Finlayson retired from the Board of Directors of The York Water Company pursuant to the Company's retirement policy. Mr. Finlayson had been a director of the Company for over 20 years, starting in September 1993. Mr. Finlayson served as Chairman of the Audit Committee from 1994 to 2013, as well as serving as a member of the Compensation, Nomination and Corporate Governance and Executive Committees from time to time during his tenure. Mr. Finlayson will be designated as a Director Emeritus.
