Item 3.03. Material Modification to Rights of Security Holders.
To the extent the disclosure requirements of Item 3.03 are applicable to the matters discussed below in Item 8.01 of this Current Report on Form 8-K, the disclosure contained below in Item 8.01 is incorporated herein by reference.
Item 8.01. Other Events.
On December 17, 2004, New Plan Excel Realty Trust, Inc. (the Company) entered into a supplemental indenture (the Supplemental Indenture) with U.S. Bank Trust National Association (as successor to State Street Bank and Trust Company), as trustee (the Trustee), to the Indenture dated as of February 3, 1999, by and among the Company, New Plan Realty Trust, as guarantor, and the Trustee, relating to the Companys 3.75% Convertible Senior Notes due 2023 (the Convertible Notes). Pursuant to the Supplemental Indenture, the Company (i) irrevocably elected to pay cash for any Convertible Notes to be purchased at the option of the holders thereof on a Purchase Date (as defined in an officers certificate of the Company dated as of May 19, 2003 (the Officers Certificate)), or to be purchased at the option of the holders upon the occurrence of a Fundamental Change (as defined in the Officers Certificate), and surrendered the power to satisfy such amount in shares of common stock of the Company (Common Stock) or a combination of cash and Common Stock and (ii) irrevocably elected to satisfy 100% of the principal amount of any Convertible Notes surrendered for conversion in cash, and surrendered the power to satisfy such amount in Common Stock.
