ITEM 1.01 ENTRY INTO A MATERIAL DEFINITIVE AGREEMENT.
On August 22, 2005, we entered into an Engineering Services agreement with TecStar. We agreed to pay TecStar $2,742,640 in exchange for their engineering services which will include the development of Work Instructions, Control Plans, Router, Key Characteristics, Inspection Instructions, Layout, Fixturing, Material Plans, Process Flow Diagrams, Metrics and Repair Plans.
