Item 5.05. Amendments to Registrants Code of Ethics, or Waiver of a Provision of the Code of Ethics.
On May 24, 2010, the board of directors of Summer Infant, Inc. amended the companys Code of Ethics to include provisions concerning insider trading and payments to government personnel, and to make minor technical revisions. A copy of the Code, as amended, is filed herewith as Exhibit 14 and is incorporated herein by reference.
