Item 1.01. Entry Into a Material Definitive Agreement.
On April 8, 2014, Pacira Pharmaceuticals, Inc. (the Company) entered into an underwriting agreement (the Underwriting Agreement) with Jefferies LLC, Barclays Capital Inc. and Merrill Lynch, Pierce, Fenner & Smith Incorporated, as representatives of the several underwriters named in Schedule I thereto (collectively, the Underwriters), relating to an underwritten public offering (the Offering) of 1,600,000 shares (the Shares) of the Companys common stock, par value $0.001 per share (the Common Stock). The Shares were sold to the public at a price of $64.00 per share, and the Underwriters have agreed to purchase the Shares from the Company pursuant to the Underwriting Agreement at a price of $60.16 per share. After underwriting discounts and commissions and estimated offering expenses, the Company expects to receive net proceeds of approximately $96.0 million from the Offering. The Company granted the Underwriters a 30-day option to purchase an aggregate of 240,000 additional shares of Common Stock on the same terms and conditions as the Shares.
The Shares will be issued pursuant to an automatically effective shelf registration statement on Form S-3 (the Registration Statement) that the Company filed with the Securities and Exchange Commission (the SEC) on April 7, 2014 (File No. 333-195099). A prospectus supplement relating to the Offering has been filed with the SEC. The closing of the Offering is expected to occur on or about April 14, 2014.
