Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On May 13, 2014, Max Batzer informed the Board of Directors (the Board) of Summer Infant, Inc., (the Company) of his decision to not stand for re-election to the Board at the Companys 2014 Annual Meeting of Stockholders. As set forth in Mr. Batzers notice to the Company, he is not standing for re-election because his undertaking of time-consuming commitments and additional domestic and international director obligations would interfere with his ability to continue to fully serve the Company. The Board thanked Mr. Batzer for his service to the Company.
