This prospectus relates to the disposition from time to time of up to 93,333,333 shares of common stock, including 80,000,000 shares of common stock issuable upon exercise of outstanding warrants, by Amer International Group Co., Ltd., a limited liability company organized under the laws of the Peoples Republic of China (AMER and, collectively with any transferees, donees, pledgees, assignees or other successors-in-interest, the selling stockholders). Under the terms of a purchase agreement that we have entered into with AMER, we are required to register the resale of the shares of our common stock issued to AMER and underlying the warrants held by AMER.
We will not pay any underwriting discounts or commissions on the shares of common stock issued to the selling stockholders. We will not receive any proceeds from the sale of common stock by the selling stockholders.
Our common stock is listed on the NYSE MKT and Toronto Stock Exchange under the symbol GMO. On December 21, 2016, the closing price of our common stock on the NYSE MKT was $0.27 per share and the last reported sale price on the Toronto Stock Exchange was C$0.35.

We are in the business of the exploration, development and mining of properties primarily containing molybdenum. Our primary asset is an 80% interest in the Mt. Hope Project (Mt. Hope Project), a primary molybdenum property, located in Eureka County, Nevada. The Mt. Hope Project contains proven and probable molybdenum reserves totaling 1.4 billion pounds (1.1 billion pounds owned by us) of which 1.2 billion pounds (1.0 billion pounds owned by us) are estimated to be recoverable. In 2006, we acquired a second significant molybdenum and copper project, the Liberty Project (Liberty Project), located in Nye County, Nevada, which we wholly own. The Liberty Project is anticipated to become our second molybdenum and copper operation, after commencement of commercial production at the Mt. Hope Project, with initial production dependent on market conditions.
Our corporate objective is to profitably develop and operate the Mt. Hope Project and to complete our evaluation and commence development of the Liberty Project. We are focused on obtaining financing required to complete the development of the Mt. Hope Project, while at the same time conserving our cash resources until such financing is received. However, the combination of depressed molybdenum prices and legal challenges to our water rights has further delayed our ongoing development efforts at the Mt. Hope Project. In addition, we continue to evaluate potential value-accretive acquisition opportunities jointly with AMER, which made, and agreed to make an additional, significant investment in our common stock in 2015. We also continue to evaluate the Liberty Project.

Common Stock
All shares of our common stock are equal with respect to voting, liquidation, dividend and other rights. Owners of common stock are entitled to one vote for each share owned at any meeting of the stockholders. Holders

We may issue shares of our preferred stock from time to time, in one or more series. Under our certificate of incorporation, we are authorized to issue 10,000,000 shares of preferred stock, par value $0.001 per share. Our preferred stock is entitled to preference over our common stock with respect to the distribution of our assets in the event of liquidation, dissolution, or winding up of the company. Certain Anti-Takeover Effects of Delaware Law and Provisions of Our Certificate of Incorporation and Bylaws
Our certificate of incorporation and bylaws and the Delaware General Corporation Law contain provisions that may have the effect of delaying, deferring or preventing a change of control of the company. These provisions, among other things:
· provide for staggering the terms of directors by dividing the total number of directors into three groups;
· authorize our Board to set the terms of preferred stock;
· restrict our ability to engage in transactions with stockholders with 15% or more of outstanding voting stock;
· authorize the calling of special meetings of stockholders only by the Board, not by the stockholders;
· limit the business transacted at any meeting of stockholders to those purposes specifically stated in the notice of the meeting; and
· prohibit stockholder action by written consent without a meeting and provide that directors may be removed only at a meeting of stockholders.
Because of these provisions, persons considering unsolicited tender offers or other unilateral takeover proposals may be more likely to negotiate with our Board rather than pursue non-negotiated takeover attempts. As a result, these provisions may make it more difficult for our stockholders to benefit from transactions that are opposed by an incumbent Board.
Warrants
On November 24, 2015, we issued warrants to purchase 80,000,000 shares of our common stock to AMER in connection with the closing of the first tranche of the AMER Investment Transaction described below under Selling StockholdersThe AMER Investment Transaction. The warrants will become exercisable upon the date of the first drawdown under the Loan (defined below), and will expire on the earlier of the fifth anniversary of such date, or April 17, 2017, if the Loan documentation has not yet been executed. If at any time after the 30-month anniversary of the date the warrants become exercisable, our share price exceeds $2.00 per share for 60 consecutive days, we may require AMER to exercise some or all of the warrants in our discretion.
We also have other outstanding warrants. On December 26, 2014, we issued warrants to purchase 8,535,000 shares of our common stock, which are exercisable at $1.00 per share and will expire on December 26, 2019. As of November 3, 2016, we also had outstanding warrants to purchase 1,000,000 shares of common stock, which are exercisable at $5.00 per share once we have received financing necessary for the commencement of commercial production at the Mt. Hope Project and will expire one year afterwards. The shares of common stock underlying these warrants are not included in the registration statement of which this prospectus is a part.
This prospectus relates to the offer and sale from time to time by the selling stockholders of up to 93,333,333 shares of common stock, including 80,000,000 shares issuable upon the exercise of warrants. There can be no assurance that the selling stockholders will sell any or all of their common stock offered by this prospectus. We do not know if, when, or in what amounts the selling stockholders may offer the common stock for sale.
The AMER Investment Transaction
On April 17, 2015, we entered into an Investment and Securities Purchase Agreement (the Purchase Agreement) with AMER, pursuant to which AMER agreed to (a) acquire an equity interest in the Company by purchasing the shares of our common stock, and (b) assist us in obtaining a loan from one or more prime Chinese banks to fund our share of costs related to the development of the Mt. Hope Project (the Loan), or approximately $700 million, including providing a guarantee of that loan. On November 2, 2015, we and AMER entered into an amendment to the Purchase Agreement, pursuant to which the parties agreed to a three-tranche closing structure to the transactions contemplated by the Purchase Agreement.
On November 24, 2015, the parties closed the first tranche of investment under the Purchase Agreement, pursuant to which AMER invested $4 million in the Company in exchange for 13,333,333 shares of our common stock, at a price of $0.30 per share, and warrants to purchase 80,000,000 shares of common stock at an exercise price of $0.50 per share. AMER may exercise the warrants at any time commencing on the date we first draw down funds under the Loan, and expiring on the earlier of (a) the fifth anniversary of the first Loan drawdown or (b) April 17, 2017, if the Loan documentation has not been executed by such date.
In addition, AMER and the Company entered into a Stockholder Agreement (the Stockholder Agreement) pursuant to which AMER is permitted to immediately nominate one member of our Board, as well as additional directors following the completion of the third tranche closing under the Purchase Agreement, and
drawdown of the Loan, respectively. The Stockholder Agreement also governs AMERs acquisition and transfer of shares of the Companys common stock.
Pursuant to its rights under the Stockholder Agreement, AMER nominated Tong Zhang to serve as a director of the Company, and he was appointed to the Board on December 3, 2015.
AMER and the Company also entered into an Expense Reimbursement Agreement (the Expense Reimbursement Agreement) pursuant to which we agreed to deposit $2 million into a joint account (the Joint Account) to cover anticipated Mt. Hope financing costs and other jointly sourced business development opportunities. Upon the closing of the second tranche under the Purchase Agreement, the Company is required to deposit an additional $1 million in the Joint Account.

Item 15. Indemnification of Directors and Officers

No indemnification may be made if it is determined that the individual did not meet the above listed standards.
A corporations determination of whether to indemnify someone who is a director or officer at the time of such determination must be made:
(i) by a vote of the majority of disinterested directors (even if less than a quorum);
(ii) by a committee of disinterested directors designated by the majority vote of the disinterested directors (even if less than a quorum);
(iii) by special legal counsel if there are fewer than two disinterested directors or if such disinterested directors so direct; or
(iv) by the stockholders, but shares owned by or voted by a director who is not disinterested may not be voted.
Where a present or former officer or director of the corporation defends a matter successfully, indemnification for reasonable expenses is mandatory. Officers and directors expenses may be paid in advance of final disposition if the person agrees to repay the advances if he or she is later determined not to be entitled to indemnification.
To the fullest extent permitted by applicable law, a corporation is authorized to provide indemnification of (and advancement of expenses to) agents of the company (and any other persons to which DGCL permits the company to provide indemnification) through bylaw provisions, agreements with such agents or other persons, vote of stockholders or disinterested directors or otherwise, in excess of the indemnification and advancement otherwise permitted by Section 145 of the DGCL, subject only to limits created by applicable DGCL (statutory or non-statutory), with respect to actions for breach of duty to the corporation, its stockholders, and others.
The Registrants certificate of incorporation provides that no director of the company shall be personally liable to the Registrant or its stockholders for monetary damages for any breach of fiduciary duty by such a director as a director, except to the extent provided by applicable law (i) for any breach of the directors duty of loyalty to the Registrant or its stockholders, (ii) for acts or omissions not in good faith or which involve intentional misconduct or a knowing violation of law, (iii) pursuant to Section 174 of the DGCL, or (iv) for any transaction from which such director derived an improper personal benefit. If the DGCL is amended to authorize corporate action further eliminating or limiting the personal liability of directors, then the liability of a director of the corporation shall be eliminated or limited to the fullest extent permitted by the DGCL, as so amended.
The Registrants bylaws provide for the Registrant to indemnify and hold harmless, to the fullest extent permitted by the DGCL as it presently exists or may hereafter be amended, any director or officer of the Registrant. The Registrants bylaws also provide that expenses incurred by any officer or director in defending any such action, suit or proceeding in advance of its final disposition shall be paid by the Registrant upon delivery to the Registrant of an undertaking, by or on behalf of such director or officer, to repay all amounts so advanced if it shall ultimately be determined that such director or officer is not entitled to be indemnified by the Registrant.

At present, there is no pending litigation or proceeding involving any of the Registrants directors or executive officers as to which indemnification is required or permitted, and the Registrant is not aware of any threatened litigation or proceeding that may result in a claim for indemnification.
