The shares to be registered hereunder are shares of Class A common stock, par value $0.004 per share (the “Class A Common Stock”), of Laureate Education, Inc. (the “Registrant”).  A description of the Class A Common Stock is set forth under the heading “Description of Capital Stock — Class A and Class B Common Stock” in a prospectus constituting part of the Registrant’s Registration Statement on Form S-1 (No. 333-207243) relating to the Class A Common Stock, to be filed pursuant to Rule 424(b) under the Securities Act of 1933, as amended, and such description shall be deemed to be incorporated herein by reference.
