Item 8.01    Other Events.

 

On September 28, 2017, Ensco plc (the “Company” or “Ensco”) issued a press release announcing that, in connection with its pending acquisition of Atwood Oceanics, Inc. (“Atwood”), it has received commitments from lenders under the Company’s revolving credit facility to extend the maturity date of the revolving credit facility by two years to September 30, 2022 from September 30, 2020.  The press release is attached hereto as Exhibit 99.1 and is incorporated into this Item 8.01 by reference.
