(1) | Reflects an option under the Issuer's Deferred Compensation Program exempt under Rule 16b-3. The Reporting Person elected to receive option shares in lieu of a portion of his 2016 base salary and a portion of any 2016 salary increase. The Form 4 filed on 1/4/2016 reported the grant of 15,082 option shares in lieu of $126,750 of his foregone base salary. Such option shares became fixed and determinable on the 12/31/2015 grant date, only conditioned on the passage of time and continued employment. This Form 4 Amendment reports an additional 366 option shares granted in lieu of $3,076.92 of his foregone 2016 salary increase approved on 3/23/2016 by the Compensation Committee.
