A press release was issued on May 15, 2012 announcing that the Board of Directors had declared a quarterly cash dividend of $0.065625 per share.  The dividend is payable July 2, 2012, to shareholders of record at the close of business on June 1, 2012.  Attached is a copy of the press release labeled as Exhibit 99(a).
