(1) These shares are directly owned by the 1987-1988 Richard C Blum Irrevocable Children's Trust (the "Trust"). Michael Klein is the sole trustee of the Trust and may, accordingly, be deemed an indirect beneficial owner of the shares held by the Trust, although he is not a beneficiary of the Trust. Mr. Klein disclaims beneficial ownership of the shares held by the Trust, except to the extent of any pecuniary interest therein, and this report shall not be deemed an admission of beneficial owner of such shares for any purpose.
