ITEM 1.01. ENTRY INTO A MATERIAL DEFINITIVE AGREEMENT
 
 
On February 13, 2007 and March 5, 2007 Insignia Solutions Inc. (“Insignia”), a subsidiary of Insignia Solutions plc (the “Registrant”) entered into amendments (the “Amendments”) to its Bridge Loan Agreement dated as of December 21, 2006 (the “Loan Agreement”) with Smith Micro Software, Inc. (the “Lender”).
 
Under the original agreements and subsequent amendments, Insignia borrowed $750,000 from the Lender on December 22, 2006, $375,000 on January 31, 2007, $375,000 on February 13, 2007 and $500,000 on March 5, 2007 for a total Bridge loan of $2,000,000.
