PART III  NARRATIVE
 
State below in reasonable detail the reasons why Forms 10-K, 20-F, 11-K, 10-Q, 10-D, N-SAR, N-CSR, or the transition report or portion thereof could not be filed within the prescribed period. (Attach Extra Sheets if Needed)

Arrow Resources Development, Inc. (the “Registrant”) was not able to complete its Form 10-Q for the fiscal quarter ended March 31, 2008, by the close of business on May 15, 2008, because certain supporting documents required for the completion of the review of the Registrant’s consolidated financial statements for the period ended March 31, 2008, could not, without unreasonable effort or expense, be prepared and provided to the Registrant’s independent accountants early enough to allow for the completion of the review of the Registrant’s consolidated financial statements. Thus, the Registrant requires additional time to properly complete and file its Form 10-Q for the fiscal quarter ended March 31, 2008.

The Registrant will file its Form 10-Q for the fiscal quarter ended March 31, 2007, no later than the fifth calendar day after the due date of such Form 10-Q.
