Item 2.02 
Results of Operations and Financial Condition.

On November 19, 2009, Kulicke and Soffa Industries, Inc. issued a press release announcing its financial results for its fourth fiscal quarter and for its fiscal year ended October 3, 2009.  The Company made an error in calculating income tax expense included in net income for the Company’s fourth fiscal quarter.
 
On December 16, 2009, the Company issued a press release announcing the corrected financial results for its fiscal quarter ended October 3, 2009.  The correction reduced income tax expense by $750,000, which resulted in an increase to net income after tax of $750,000, and increased other assets by $750,000.  The Company’s Annual Report on Form 10-K will be filed on December 16, 2009, and will reflect these corrected results. A copy of this press release is furnished as Exhibit 99.1 to this report, and is incorporated by reference into this Item 2.02 as if fully set forth herein.
