(the "Company") pursuant to a Registration Statement on Form S-3/A and Prospectus dated as of April 7, 2014. Under the terms of the rights offering, each stockholder of the Company as of March 14, 2014 (the record date for the offering) was distributed 0.063921 non-transferable subscription rights for each share of the Company's common stock owned by such stockholder as of the record date. Each whole subscription right entitled the holder thereof to purchase one share of common stock at a subscription price of $16.80 per share. |
