Item 1.01 Entry into a Material Definitive Agreement.
On June 30, 2014, Enventis Corporation (the “Company” or “Enventis”) and Consolidated Communications Holdings, Inc. (“Consolidated”) entered into an Agreement and Plan of Merger (“Merger Agreement”).
On August 5, 2014, the Company entered into a Second Agreement Regarding Amendment (the “Second Amendment”) to Loan Documents which amended the Company’s outstanding Credit Agreement (the “Credit Agreement”), dated as of August 11, 2011, as amended by that certain Agreement Regarding Amendments to Loan Documents, dated as of October 30, 2013, by and among the Loan Parties, the Lenders and the Administrative Agent. Capitalized terms used but not defined herein have the meanings assigned to them in the Credit Agreement.
Among other things, the Second Amendment (i) increases the basket for cash restructuring charges set forth clause (a)(i)(5)(IV) of the definition of EBITDA to $2,500,000 and (ii) the Lenders consent to the Merger Agreement on the terms and conditions set forth in the Second Amendment.
