(1)	SVM Star Ventures Managementgesellschaft mbH Nr. 3 ("SVM 3"), of which Mr. Barel is the sole director and primary shareholder, holds the shares and warrants subject to this report as trustee for Mr. Elie Barr ("Barr") in accordance with the provisions of the Board Designation and Trust Agreement between SVM3 and Barr dated May 13, 2007.
(2)	As part of the transaction, the Issuer issued the warrants for no additional consideration.
