Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers
In connection with its annual performance review process, the Compensation Committee of the Board of Directors of Encorium Group, Inc. (the "Company") set the annual base salary for Dr. Kenneth Borow, President and Chief Executive Officer, for the year ended December 31, 2007 in the amount of $373,628.30 (the "2007 Base Salary"). The 2007 Base Salary is retroactive to January 1, 2007. In addition, the Compensation Committee approved a 2.5% interest payment on the retroactive salary payable in the amount of $350.61. The Compensation Committee has not yet set Dr. Borow's base salary for 2008.Dr. Borow does not have an employment agreement with the Company.
