Item 2.02. Results of Operations and Financial Condition
On August 24, 2009 the Company issued a press release announcing the Company's results of operations for the three-month period ending June 30, 2009.
A copy of the Company's press release is attached hereto as Exhibit 99.1 to this Current Report on Form 8-K. The information in this Current Report on Form 8-K, including the exhibit hereto, is being furnished and shall not be deemed "filed" for purposes of Section 18 of the Securities Exchange Act of 1934, as amended (the "Exchange Act"), nor shall it be deemed incorporated by reference in any filing under the Securities Act of 1933, as amended, or the Exchange Act, except as shall be expressly set forth by specific reference in such a filing.
Item 8.01. Other Events
On August 27, 2009 the Company issued a press release announcing that on August 21, 2009 the Company received a notice from Nasdaq that it failed to meet the continued listing rules because, as of that date, it had not yet filed its quarterly report on Form 10-Q for the period ended June 30, 2009. The Company filed its Form 10-Q for the quarterly period ended June 30, 2009 on August 21, 2009. As a result, the Company received notice on August 26, 2009 from Nasdaq that it is currently in compliance with Listing Rule 5250(c)(1). A copy of the Company's press release is attached hereto as Exhibit 99.2.
