Item 8.01 | Other Events. |
On March 2, 2009, SVB Financial Group (the Company) filed with the Securities and Exchange Commission its Annual Report on Form 10-K for the year ended December 31, 2008 (10-K). The financial results for the fourth quarter and year ended December 31, 2008 reported in the 10-K reflects a decrease in net income of $1.2 million since January 22, 2009, the date on which the Company issued its press release announcing its preliminary financial results (Press Release). The decrease in net income was due to an increase to the Companys allowance for loan losses as of December 31, 2008, which had an impact on the Companys provision for loan losses, incentive compensation expense, income tax expense, overall net income and earnings per share, as well as related earnings and asset quality ratios. The following table highlights certain revised items related to this change in our overall consolidated statements of income and balance sheets for the fourth quarter and year ended December 31, 2008:
