Item 1.01 | Entry into a Material Definitive Agreement. |
On November 18, 2009, SVB Financial Group, a Delaware corporation (the Company), entered into an underwriting agreement with J.P. Morgan Securities Inc. and Merrill Lynch, Pierce, Fenner & Smith Incorporated, as representatives of the several underwriters listed on Schedule 1 thereto (the Underwriters), pursuant to which the Company agreed, subject to the satisfaction of certain conditions, to sell and issue 7,800,000 shares of its common stock, par value $0.001 (the Common Stock) at a purchase price of $38.50 per share. The Common Stock will be sold pursuant to the Registration Statement (File No. 333-163135), and the prospectus forming part thereof, filed with the Securities and Exchange Commission on November 16, 2009. In addition, pursuant to the Underwriting Agreement, the Company has granted the Underwriters the option to purchase an additional 1,170,000 shares of Common Stock to cover over-allotments. The Company estimates that the net proceeds from the sale of the Common Stock will be approximately $286 million after deducting the underwriting discounts and commissions and estimated offering expenses. If the underwriters exercise their over-allotment option in full, the Company estimates that the net proceeds will be approximately $329 million.
