| (a) | SandRidge Energy, Inc. (the “Company”) held its 2010 Annual Meeting of Stockholders (the “Meeting”) on June 4, 2010, at which holders of the Company’s common stock voted to (i) elect three Class I directors to the Company’s Board of Directors; and (ii) ratify the appointment of PricewaterhouseCoopers LLP as the Company’s independent registered public accounting firm for the fiscal year ending December 31, 2010. Each share of common stock was entitled to one vote at the Meeting. |
