Item 8.01. Other Events

On May 11, 2011, Kraton issued a press release announcing the commencement of an exchange offer by Kraton Polymers LLC and Kraton Polymers Capital Corporation for all of their outstanding 6.75% Senior Notes due 2019, which are not registered under the Securities Act of 1933, as amended (the “Act”), for an equal principal amount of their 6.75% Senior Notes due 2019, which have been registered under the Act. The exchange offer will commence on May 11, 2011 and expire at 5:00 p.m., New York City time, on June 9, 2011.

The press release announcing the commencement of the exchange offer is filed herewith as exhibit 99.1, and is incorporated by reference herein.
