Inside the Merger: Continuing Through the Process
Working toward the required approvals for merging two companies is a lengthy process. It involves a lot of work and people to make it happen. As a result of these efforts, were making good progress toward our goal.
One such step is providing more information to the Federal Trade Commission (FTC) in response to what is called a second request. As expected, the FTC requested additional data about our two companies following our initial filing earlier this year. In short, the FTC wants to understand how we do business and get a better idea of the competitive landscape in our industry.
Its a normal course of business in a merger situation especially one of this size and scale but responding to a second request can be a daunting task.
A typical second request asks for a great deal of information about the companies involved in the transaction, including their organizational structure, facilities, data around clients, products and arrangements with suppliers, and other information about the marketplace, said Marty Akins, vice president & deputy general counsel. It takes a huge effort to pull all of the requested information together in the required format so we can file our response. In fact, that coordinated effort has already involved dozens of people from across the organization. And when our response is ready to go, it will yield literally millions of pages of data.
The good news is that the progress were making now moves us further along in the process getting us even closer to an ultimate resolution, Marty said. Meanwhile, well continue to work through the details and cooperate with the FTC.
