Item 1.01 | Entry into a Material Definitive Agreement |
On April 19, 2013, SAIC, Inc., as borrower, and Science Applications International Corporation, as guarantor, entered into Amendment No. 1 (the Amendment) to the Amended and Restated Four Year Credit Agreement, dated March 11, 2011 (the Agreement), with Citibank, N.A., as administrative agent and the other lending institutions named in the Agreement.
The Amendment (i) permits in the calculation of EBITDA the adding back of certain expenses incurred in connection with the companys anticipated spin-off of its technical, engineering and enterprise information technology services business and to make certain other changes thereto, (ii) excludes the effect of debt incurred by the credit parties or any of their subsidiaries in connection with the spinoff transaction for purposes of calculating Consolidated Funded Debt, and (iii) changes the ratio of Consolidated Funded Debt to EBITDA that the company is required to maintain. In addition, the term of the Agreement was extended for one additional year to March 11, 2017. As of the date of this report, no borrowings were outstanding under the Agreement.
