On November 11, 2013, Shenzhen Mindray Bio-Medical Electronics Co., Ltd., a subsidiary of Mindray Medical International Limited (“Mindray”), entered into a settlement agreement related to an ordinary course commercial dispute with an OEM manufacturing customer, Beckman Coulter Inc. In connection with this settlement, Mindray will take a litigation related charge of approximately $15 million in the fourth quarter of 2013.

The commercial dispute did not involve intellectual property or product liability matters, and Mindray has determined that the related termination of the OEM arrangement is not material to its business or operations.
