(1)	William Farber and Audrey Farber, the parents of Jeffrey Farber gifted a total of 10,800 shares of Lannett common stock to Jeffrey Farber's minor children. Jeffrey Farber disclaims beneficial ownership of these shares.
(2)	Indirect share total includes 10,800 shares held by William Farber, Jeffrey Farber's father, as custodian for Jeffrey Farber's two children. Jeffrey Farber disclaims beneficial ownership of these shares. Indirect share total also includes 5,000,000 shares held by Farber Properties Goup of which Jeffrey Farber is a 50% equity owner. David Farber, the brother of Jeffrey Farber and director of the company, owns the remaining 50% of equity of Farber Properties Group. Mr. Farber disclaims beneficial ownership of 2,500,000 of these shares.
(3)	Mr. Farber received a fully vested stock grant of 5,000 shares on September 10, 2008.
