Item 2.02 Results of Operations and Financial Condition.

On February 7, 2011, UDR, Inc. issued a press release announcing its financial results for the quarter and year ended December 31, 2010. A copy of the press release is furnished as Exhibit 99.1 to this report. Item 8.01 Other Events.

On February 7, 2011, UDR, Inc. issued a press release announcing that its Board of Directors has approved a 10% increase, to $0.80 per share, in its annual common stock dividend to be declared in 2011. A copy of the press release is included as Exhibit 99.2 to this Current Report on Form 8-K and incorporated by reference herein.
