On April 30, 2013, Cambium Learning Group, Inc. amended its agreement with Joe Walsh to name Mr. Walsh an employee rather than a consultant. With the exception of the fact that Mr. Walsh is eligible for employee benefits, the terms of the amended agreement are substantially the same as the original agreement. The foregoing description of the agreement does not purport to be complete, and is qualified in its entirety by reference to the complete text of the agreement which will be filed with our forthcoming periodic report on Form 10-Q.
