Item 1.01 Entry into a Material Definitive Agreement.
On July 19, 2017, RenovaCare, Inc. (the “Company”) entered into subscription agreements with investors for the purchase and sale of an aggregate of 460,250 units of the Company’s equity securities (the “Units”) at a price of $2.44 per Unit for total gross proceeds of $1,123,010 (the “Offering”). Each Unit consists of one (1) share of common stock and one Series D Stock Purchase Warrant (the “Series D Warrants”) allowing the holder to purchase one (1) share of the Company’s common stock at a price of $2.68 per share for a period of five years; the Series G Warrants contain a provision allowing the holder to exercise the Series G Warrant on a cashless basis as further set forth therein. The proceeds from the Offering will be used for general corporate purposes, including the continued research and development of the Company’s SkinGunTM and CellMistTM technologies and for working capital. Details of the sales of the Units are provided in Item 3.02 of this Current Report on Form 8-K and incorporated herein by reference. The closing of the transactions contemplated by the subscription agreement occurred on July 21, 2017.
The form of the Series G Warrants issued as part of the Offering is attached hereto to this Current Report on Form 8-K as Exhibit 4.1 and incorporated herein by reference. The form of subscription agreement entered into between the Company and the investors under the Offering is attached hereto to this Current Report on Form 8-K as Exhibit 10.1 and incorporated herein by reference.
Item 3.02 Unregistered Sales of Equity Securities.
On July 19, 2017, the Company entered into subscription agreements with investors for the purchase and sale of an aggregate of 460,250 Units. The Units were offered in reliance on the exemptions from the registration requirements afforded by, but not limited to, the provisions of Regulation S as promulgated by the United States Securities and Exchange Commission under the Securities Act of 1933, as amended (the “Securities Act”) and Rule 506(b) of Regulation D of the Securities Act. The closing of the transactions contemplated by the subscription agreement occurred on July 21, 2017.
