Item 8.01 Other Events.

Gurwitch Products, L.L.C., a majority-owned subsidiary of The Neiman Marcus Group, Inc., which produces, manages and markets Laura Mercier Cosmetics and Skincare, issued a press release on December 9, 2005 announcing that it has begun exploring various strategic alternatives which could include a recapitalization or possible sale of the company. There can be no assurance that this process will result in any specific transaction. The Neiman Marcus Group, Inc. has owned 51% of Gurwitch Products, L.L.C. since 1998.

A copy of the press release is attached hereto as Exhibit 99.1.
