8.01 Other Events.
As part
of its Stock Buy-Back Program, the Company repurchased 75,000 of its shares at a
price of $4.95 per share, on March 18, 2008 in a private transaction. The
repurchase was made under the Company’s Rule 10b5-1 Stock Repurchase Plan
agreement with a broker under which the Company is conducting its share
repurchases under the safe harbor provisions of Rule 10b5-1 and Rule 10b-18
promulgated under the Securities Exchange Act of 1934.
