SECTION 1 - REGISTRANT’S BUSINESS AND OPERATIONS
 
 
Item 1.01 Entry into a Material Definitive Agreement.
 
 
On July 20, 2006, the Compensation Committee of the Board of Directors of the Company approved a base salary increase for Moosa E. Moosa, the Company’s Executive Vice President and Chief Financial Officer, from $250,000 per year to $275,000 per year, effective immediately and retroactive to July 7, 2006, the beginning of the Company’s most recent bi-weekly pay period.
