State below in reasonable detail why the Form 10-K, 11-K, 20-F 10-Q, N-SAR
or the transition report portion thereof could not be filed within the

The Company is attempting to respond to certain comments of the SEC staff
received as recently as March 27, 2003. Based on some of the issues raised by
the staff, we have incorporated certain additional information into our Annual
Report on Form 10-K. However, because of the short time frame, we were unable to
appropriately review and check the accuracy of the information provided in these
new disclosures before the filing deadline. We intend to file our Form 10-K as
soon as we and our auditors have had the opportunity to confirm the accuracy of
our disclosures, most likely later today, March 31, 2003.
