ITEM 8.01.    OTHER EVENTS.

On January 29, 2019, Boston Scientific Corporation (the “Company”) completed its acquisition of Millipede, Inc. (“Millipede”) following the expiration of the applicable waiting period under the Hart-Scott Rodino Antitrust Improvements Act of 1976, as amended. The Company previously announced the entry into an acquisition option agreement with Millipede on January 24, 2018 and the exercise of such acquisition option on December 27, 2018. Millipede has developed the IRIS Transcatheter Annuloplasty Ring System for the treatment of severe mitral regurgitation.
