The Indemnification Agreements set forth the scope of indemnification, the procedures for seeking indemnification and the methods for determining entitlement to indemnification. A copy of the Form of Indemnification Agreement, as previously approved by the Registrant's Board of Directors, is being filed with this report as Exhibit 10(t). Item 5.03 Amendments to Articles of Incorporation or ByLaws; Change in Fiscal Year On April 6, 2006, the Board of Directors of the Registrant amended the Registrant's By Laws as they relate to indemnification agreements. The amendment revises Article IV, Section 6 so as to clarify the Registrant's authority to enter into indemnification agreements with any person whom the corporation has the power to indemnify under applicable law. As amended, the By Laws authorize indemnification agreements as may contain such provisions as the Board of Directors may approve and as are not prohibited by law.
